With over 05 years of in-house experience at leading real estate developers and 06 years of practice with a professional law firm, Ms. Pham Thi Nga possesses extensive expertise in Vietnam’s real estate legal landscape. She has advised a wide range of domestic and international clients on complex legal matters involving project development (including project legal frameworks and comprehensive template systems), construction contracts, financial and commercial arrangements, property management, as well as dispute resolution before Vietnamese courts and VIAC.

In her roles on the M&A Task Force at Sun Group and as Legal Manager at Masterise Group, Ms. Nga has played a pivotal legal role in high-value real estate M&A transactions worth hundreds of millions of USD. Her responsibilities include legal due diligence, deal structuring, transaction documentation, financial structuring and capital raising, facility agreements, BCC arrangements, and obtaining regulatory approvals – such as investment policy approvals, M&A clearances, and merger filings – for project and corporate transfers, standardized contract templates for sales of branded apartments. In addition, she is experienced in corporate operations and property management, including hotel management agreements (HMAs), and in navigating complex regulatory issues throughout the entire project lifecycle.
