On June 26, the Vietnam M&A Summit 2025 took place in Hanoi with the theme “Growth – Restructuring – Transformation: A new journey for Vietnamese enterprises”. The event brought together for more than 500 delegates, including Government leader, economic and legal experts, investors and representatives from both domestic and international business communities. This was not only a forum for sharing trends but also an opportunity to comprehensively assess the strategic role of M&A activities as Vietnam is strongly transforming after a phase of deep restructuring — economically and institutionally.  

The Policy and Macro Roundtable—the opening segment of the forum—highlighted the current challenges and opportunities in Vietnam’s M&A landscape. Experts pointed out that while foreign capital continues to flow into the country at a strong pace, foreign investors are becoming increasingly stringent about legal transparency, operational capabilities, and post-M&A strategies.

The impact of U.S. tariff policies, combined with global economic uncertainties, calls for Vietnamese enterprises to adopt smart, flexible, and legally compliant transaction structures. Resolution No. 68 of the Politburo on the development of the private economy and the newly amended 2024 Land Law are laying a solid policy foundation, creating more favorable and transparent conditions for investment and M&A activities. One of the highlights of this year’s event was the announcement of the Advocacy Committee for the Establishment of the Vietnam M&A Association. After its establishment, the Association aspires to play an important role in serving as a bridge between businesses, investors, and regulatory bodies. It aims to contribute in promoting a professional, transparent, and efficient M&A market in Vietnam.

Lawyer Vu Thi Thu Ha, Director of ATS Lawyers, shared: “As Vietnam becomes increasingly integrated into the global market, the legal framework for M&A is trending toward greater transparency and alignment with international standards. However, investors must pay close attention to new regulations on legal due diligence, foreign ownership limits, and post-merger obligations to minimize legal risks.”

The overarching message of the forum was clear: Vietnam is not only an attractive destination for M&A capital flows but must also become a proactive and strategic player capable of mastering regional-scale deals. “We should not solely rely on foreign investors; we must build a strong domestic business force capable of actively participating in, and even initiating strategic transactions. That is why we are pushing forward with the establishment of the Vietnam M&A Association: to accompany the growth of the market and of Vietnamese enterprises themselves,” Ms. Pham Thuy Duong remarked in her closing statement.

Vietnam M&A Summit 2025 concluded with a series of in-depth discussions, partnership signings, and investment networking activities. The insights, and lessons drawn from the forum are expected to continue to spread strongly in Vietnamese corporate restructuring strategies, macroeconomic policy development, and the mindset of investors seeking opportunities amid economic transformation.
